Terms & Conditions
The legal and commercial framework for Lumacorp, a product of Azotos App Studio Private Limited.
Last updated:
1. Contracting entity and scope
Azotos App Studio Private Limited provides Lumacorp. References to the Company, we, us or our mean that legal entity; Lumacorp is the product name. These conditions apply alongside the Terms of Service. Personal-data handling is explained in the Privacy Policy.
A signed customer agreement, order form or data-processing agreement controls its subject matter and prevails over conflicting website terms, subject to mandatory law. No user has authority to amend a customer agreement merely by using the product.
2. Licence and intellectual property
Subject to the applicable agreement, the Company grants a limited, non-exclusive and non-transferable right to use Lumacorp for authorised organisational purposes during the service term. Access does not transfer ownership of the product, source code, designs, documentation or branding.
Lumacorp and its proprietary materials belong to the Company; third-party materials remain with their respective owners and licensors. Customer data remains with its lawful owners. No licence extends beyond what is needed for the agreed use, and applicable statutory exceptions remain unaffected.
3. Orders, fees and service commitments
Pricing, taxes, payment dates, renewals, cancellation, refunds, support, service levels and any data-export assistance must be specified in the applicable written order or agreement. This page does not create an automatic renewal, a payment obligation or a blanket no-refund rule.
Any statutory consumer rights that apply remain available. Product outputs require authorised review and do not replace engineering judgement, statutory permissions or project acceptance procedures.
4. Confidentiality and lawful processing
Each party must protect the other's non-public information and use it only for the authorised purpose. Disclosure is permitted to authorised personnel and service providers who need it, or when required by law. Where permitted, the disclosing party should notify the affected party of a compulsory disclosure.
The customer is responsible for the authority and lawful instructions under which it supplies project and workforce data. The Company remains responsible for its own processing obligations. Confidentiality does not prohibit lawful complaints, regulatory reporting or protected disclosures.
5. Warranties and liability
Service warranties and any negotiated liability limits are governed by the customer agreement. We do not promise that the product is uninterrupted, error-free or suitable for every intended use. Each party must take reasonable steps to prevent and mitigate foreseeable loss.
To the extent permitted by Indian law and subject to the customer agreement, neither party is liable for remote or indirect loss that does not naturally arise from the breach. No provision excludes liability for fraud, wilful misconduct or any liability that law does not permit to be excluded, or removes mandatory privacy, security or consumer remedies.
6. Third-party claims and events outside control
A party remains responsible under applicable law for claims caused by its own unlawful conduct, infringement or breach. Any additional indemnity, defence procedure or monetary cap must be set out in the signed agreement; these conditions do not create an unlimited user indemnity.
A party affected by an event reasonably beyond its control should promptly notify the other party and take reasonable mitigation steps. Any relief is limited to obligations actually prevented and does not waive accrued payments or mandatory legal duties.
7. Termination and surviving obligations
Termination and cure periods follow the customer agreement and the access safeguards in the Terms of Service. On termination, stop using the product and coordinate any permitted data export or return. Accrued rights, confidentiality, intellectual property and obligations that necessarily survive continue for their lawful duration.
8. Indian law and dispute resolution
These terms are governed by the laws of India, including the Indian Contract Act, 1872 and the Information Technology Act, 2000 as applicable. Contact info@azotos.in first so that we can attempt to resolve a dispute promptly. This does not delay urgent relief or a statutory complaint.
Subject to a valid written dispute-resolution agreement and mandatory law, courts at Tiruchirappalli, Tamil Nadu shall have jurisdiction where they are otherwise competent to hear the dispute. This clause does not create jurisdiction where none exists or restrict access to a competent consumer forum, regulator or other statutory authority. Arbitration applies only if separately agreed in a valid arbitration agreement.
9. Interpretation, changes and notices
If a provision is unenforceable, the remaining provisions continue to the extent legally possible. Failure to enforce a right is not a waiver. No amendment on this website overrides a signed agreement without the agreement required by its terms.
Material revisions will be identified and communicated as required; a changed date alone is not consent to new obligations. For legal notices and the full registered-office details, contact info@azotos.in. This does not limit any legally prescribed method of service.
